CONSTITUTION FOR PEACHTREE ROOST CHAPTER

ARTICLE I

The name of this Chapter shall be Peachtree Roost Chapter, Association of Old Crows (AOC) and is to serve Metropolitan Atlanta.

ARTICLE II
AIMS AND PURPOSES

The Peachtree Roost Chapter of the AOC is formed to provide an organization for individuals who, having a common interest in Electronic Warfare (EW) and Information Operations (IO), and who wish to foster and preserve the art of EW and IO, to promote the exchange and ideas and information in the field of EW, to recognize the advances and contributions to EW & IO, to document the history of EW&IO and to commemorate fittingly the memory of fellow Crows.

ARTICLE III
COMPOSITION AND NATURE

SECTION 1. The Chapter shall be civilian in nature and shall not be used for the dissemination of partisan principles, nor for the promotion of the candidacy of any person seeking public office or preferment, nor for promotion of any commercial enterprise.

ARTICLE IV
MEMBERSHIP

SECTION 1. MEMBERSHIP. There shall be two (2) classes of membership, Regular and Honorary, and the members shall be divided among such classes according to their respective eligibilities as defined in Sections 2 and 3 of this article. Membership shall be on an annual, three-year or lifetime basis. Students are considered regular members and have a vote provided they have their dues paid.

SECTION 2. REGULAR MEMBER. All citizens of the United States who are engaged in, or were formerly engaged in, the EW field are eligible for membership. Any person who is not a citizen of the United States, but who has demonstrated his interest in furthering the aims and purposes of the Association, may become individually approved as a Regular Member of the Association by the National Board of Directors upon recommendation of not less than two (2) United States citizen members of the Association.

SECTION 3. HONORARY MEMBER. Such membership shall be awarded at the discretion of the Chapter’s Board of Directors subject to the requirements and procedures appertaining thereto, which, from time to time, may be adopted by the Nation Association.

SECTION 4. POWERS. Honorary Members shall not be entitled to any of the powers and/or privileges of Regular Members of the Association, but such membership shall be appropriately recognized in such manner as may be determined, from time to time, by the Board of Directors.

ARTICLE V
ORGANIZATION

SECTION 1. ORGANIZATION. The Chapter shall be affiliated with the Southern Region and National AOC, with each member accredited to the National Association. The Chapter shall be composed of ten (10) or more Regular Members.

ARTICLE VI
CHANGE OF RESIDENCE

SECTION 1. TRANSFER OF MEMBERSHIP. Any member of this Chapter, who is in good standing, may transfer his membership to any other Chapter, provided he shall reside or be regularly employed in the assigned Zip Code Area of jurisdiction of his new Chapter. Members who establish residence or are regularly employed outside an assigned Zip Code Area for a specific Chapter shall be maintained on the AOC roles as a National Member.

ARTICLE VII
ANNUAL DUES

SECTION 1. ASSOCIATION DUES. The Association dues shall be payable to the National Association. Membership in the National Association is required in order to be a member of the Chapter.

SECTION 2. CHAPTER DUES. The Chapter may levy annual Chapter membership dues not to exceed one-half (1/2) the National annual membership fee.

ARTICLE VIII
CHAPTER MEETINGS

SECTION 1. REGULAR MEETINGS. The Chapter shall meet monthly to the extent that a speaker is available.

SECTION 2. SPECIAL MEETINGS. The Chapter shall meet in special session upon the call of the President acting under authority granted by a majority of the Chapter’s Board of Directors.

SECTION 3. Notification of meetings shall be by E-mail not less than seven (7) days prior to the meeting date.

SECTION 4. Each Regular Member of the Chapter shall be entitled to one vote in all proceedings.

SECTION 5. QUORUM. Those Regular Members present at a duly announced meeting shall constitute a quorum.

SECTION 6. CHAPTER YEAR OF OPERATIONS. The Chapter year of operation shall commence on April 1st and terminate on the following March 30th. The Annual Meeting of members for the election of Chapter officers and Directors shall take place on March 1st or at the first regular meeting thereafter.

ARTICLE IX
OFFICERS AND DIRECTORS

SECTION 1. OFFICERS. The officers of the Chapter shall be President, Vice-President, Secretary, and Treasurer.

SECTION 2. ELECTED OFFICERS. The President shall be elected by the membership of the Chapter to serve for a period of two (2) years and thereafter until his successor is duly chosen. No person may be elected to the Office of President for more than two (2) terms.

SECTION3. APPOINTED OFFICERS. The Vice-President, Secretary, and Treasurer shall be appointed by the elected President. The appointments shall be made from among the elected directors of the Chapter and they shall serve for a period of one (1) year and thereafter until their successors have been chosen for the new presidential term.

SECTION 4. DIRECTORS. There shall be six (6) elected directors and they shall be elected for a period of three (3) years. One-third (1/3) of the total membership of elected directors shall be elected each year.

SECTION 5 ADMINISTRATOR. There may be an Administrator appointed by the President and who will take care of the day-to-day operations. There shall be no term limit to the Administrator but shall continue to serve at the will of the Board.

SECTION 6. VACANCIES. In case of any vacancy in any office, it shall be filled by appointment of the President for the remainder of the unexpired term and thereafter until a successor is elected except that in case of a vacancy occurring in the office of President, the office shall be assumed by the Vice-President.

SECTION 7. VOTING. All Regular Members of the Chapter shall be eligible to vote for the Club President and Directors.. Voting will be by ballot or by acclamation at a regular Chapter meeting.

ARTICLE X
BOARD OF DIRECTORS

SECTION 1. COMPOSITION. The Directors, Officers, and immediate past President of the Chapter and the Administrator shall comprise the Board of Directors, The Administrator shall be an ex-officio, non voting member.

SECTION 2. POWERS. Between meetings, the administrative power of the Chapter shall be vested in the Board of Directors.

SECTION 3. VACANCIES. Any vacancy in the Board of Directors shall be filled as provided in ARTICLE IX, SECTION5.

ARTICLE XI
STANDING COMMITTEES

SECTION 1. The Chapter, from time to time may provide by its By-Laws, for such Standing Committees as may be deemed necessary. The President, annually, shall appoint the members, designate the Chairman, and fill the vacancies.

ARTICLE XII
SPECIAL COMMITTEES

SECTION 1. Either the Chapter membership, duly assembled, or the Board of Directors or President, from time to time, may create special committees and define their respective powers and duties.

ARTICLE XIII
DISCIPLINE

SECTION 1. ACTION, HOW TAKEN. The Board of Directors, after notice and a proper hearing, may suspend or revoke the membership privilege of any member.

SECTION 2. CAUSES FOR ACTIONS. Any member of the Chapter may be suspended or expelled for misconduct in his relations to the Association or Chapter, for disloyalty to the United States, upon conviction by a court of competent jurisdiction of a felony, or membership in any subversive activity.

ARTICLE XIV
AMENDMENTS

SECTION 1. HOW EFFECTED. This Constitution may be amended, but only by a two-thirds (2/3) vote of the Regular Membership of the Chapter, provided that notice of the proposed amendment shall have been given by the Secretary to such members at lest thirty (30) days before the amendment is offered for final adoption. The Constitution may be amended without notice only by the unanimous vote of the Chapter’s Regular Membership presented at the meeting at which the proposed amendment is offered for adoption. This Constitution and By-Laws of this Chapter, and all amendments thereto, are subject to review and approval by the Constitution Committee of the National Association and are inoperative until such review and approval have been obtained.

ARTICLE XV
CONFORMITY

SECTION 1. The provisions of this Constitution and By-Laws shall be subject to the Constitution and By-Laws of the National Association, as presently provided or as the same might hereafter be amended. In the event of the inconsistency between the provisions of this Chapter Constitution and By-Laws and the Constitution and By-Laws of the Nation Association, then the provisions of the Nation Constitution and By-Laws shall govern and prevail.

ARTICLE XVI
EFFECTIVE DATE

SECTION 1. This Constitution shall take effect immediately upon its adoption.
